Admissibility

The Service is intended only for individuals who are 13 years of age or older. Anyone under the age of 13 is strictly prohibited from accessing or using the Service. By accessing or using the Service, you represent and warrant that you are 13 years of age or older.

Account Registration

To access certain features of the Service or to use certain features of the Service, you may be required to create an account ("Account") and become a "Registered User" of the Service. CAMBOX LTD reserves the right, in its sole discretion, to refuse to maintain Accounts for any person, or to provide services to any person. CAMBOX LTD reserves the right to suspend or terminate your Account, if any information provided during the registration process or at other times is found to be inaccurate, not up to date or incomplete. You must protect your password. You agree not to disclose your password to any third party and to assume full responsibility for any activities or actions that occur using your Account, whether or not you have authorized such activities or actions. You must immediately notify CAMBOX LTD of any unauthorised use of your Account.

Proprietary Rights and Intellectual Property

The Service and Content are protected under copyright, trademark, and other laws of France, the United States and foreign countries. Except as otherwise expressly set forth in these TOS, CAMBOX LTD and its licensors shall exclusively own the right, title and interest in and to the Service and the Content, including related intellectual property rights. You shall not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Service or Content.

The trademarks, service marks, logos, trade names and other proprietary designations of CAMBOX LTD used herein are trademarks or registered trademarks of CAMBOX LTD. Other trademarks, service marks, logos, trade names and other proprietary designations are trademarks or registered trademarks of their respective parties.

Your License to Use the Services

"Content" of the Service means any links, text, graphics, images, music, audio, video, photos, information, code, or other materials available as part of the Service. Subject to your compliance with these TOS, CAMBOX LTD grants you a limited, non-exclusive, non-transferable license, without the right to sublicense, to access and use the Service, and to access the Content and to use, display, print the Content, for your personal, non-commercial use. You shall not use, copy, adapt, modify, prepare derivative works based on the Service or Content, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Service or Content, except as expressly permitted in these TOS. No license or right is granted to you by implication or otherwise, under any intellectual property rights owned or controlled by CAMBOX LTD or its licensors, except with respect to the licenses and rights expressly granted in these TOS.

User Submitted Content

We may, in our sole discretion, permit you to submit, post, upload, publish, email, send or transmit any Content as part of or through the Service, or in response to or in connection with any Content previously provided through the Service. From time to time, we may ask you to resubmit the Content to us, in a different form. Unless otherwise agreed in writing, CAMBOX LTD does not claim ownership rights in your Content, and nothing in these TOU shall be deemed to limit any rights you may have to use and exploit your Content. By making any Content available through the Service, you hereby grant Cambox a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license with the right to sublicense, use, copy, adapt, modify, distribute, reference, store, cache, license, sell, transfer,  publicly display, publicly perform, transmit, stream, broadcast, make available to the public, or otherwise exploit such Content, on third party distribution channels or through third party distribution channels chosen by CAMBOX LTD, but not affiliated with CAMBOX LTD, in any form,  any means or technology now known or hereafter developed, in whole or in part, for any purpose, including both commercial and non-commercial purposes subject to the limitations on the use of your Private Content, if any, set out in the CAMBOX LTD Privacy Policy; you also grant CAMBOX LTD the right to sublicense such rights to third parties for distribution through third-party distribution channels, which may include viral distribution of your Content. You also grant CAMBOX LTD the right to use your Content for the purpose of testing CAMBOX LTD's internal technologies and processes.  You agree that CAMBOX LTD may use third-party technologies and service providers in connection with the exercise of any of CAMBOX LTD's rights as provided in this section. Notwithstanding any statutory claims for compensation, you agree that neither CAMBOX LTD nor third party distribution channels is/are obligated to compensate you for your Content or the licenses granted herein. You understand that CAMBOX LTD does not guarantee confidentiality with respect to any Content you submit. You also hereby grant each user of the Service a non-exclusive license to access your Content through the Service, and to use, reproduce, distribute, display and perform such Content as permitted through the functionality of the Service and under these TOS.

Notwithstanding the foregoing, if you submit Content to CAMBOX LTD for CAMBOX LTD, in its sole discretion, to consider using for its own purposes, you may be required to agree to a separate license agreement that will supersede this provision with respect to such Content. You acknowledge and agree that CAMBOX LTD is not obligated to use any Content you submit and, with respect to you, is not required to accept any license terms other than those set forth in these TOS.

You acknowledge and agree that you are fully responsible for all Content that you make available through the Service. Accordingly, you represent and warrant that: (i) you are either the sole and exclusive owner of all Content that you make available through the Service or that you have the rights, licenses, permissions, consents and releases that are necessary to grant CAMBOX LTD the rights to such Content as provided under these TOS; and (ii) neither the Content nor the posting, uploading, publication, submission or transmission of the Content (or any portion thereof) as part of, through or through the Service, or otherwise, will constitute an infringement, misappropriation or infringement of any patent, copyright, trademark, trade secret,  moral rights, other proprietary rights, intellectual property rights, or rights of publicity or privacy of any third party, or will not result in the violation of any applicable law or regulation.

Submission of Ideas or Proposals/Feedback

For any proposals or ideas that you submit to CAMBOX LTD, in addition to any other representations or warranties set forth in these TOS, you represent and warrant that you have the right to disclose such proposals or ideas to CAMBOX LTD, and that such disclosure does not violate the rights of any person or party.

By submitting your idea or proposal, you take into account and acknowledge that CAMBOX LTD has a number of well-established product lines and is continually working on new products, services and technologies, and as such, CAMBOX LTD may, now or in the future,  develop proposals, ideas or information internally, or receive proposals, ideas or information from others, which may be similar to the proposals or ideas you provide. Therefore, nothing in these TOU should be construed as stating or inferring that CAMBOX LTD will not independently develop products, services or ideas, or permit the development of products, services or ideas, for itself or others, that may compete with the proposals or ideas you submit,  or be similar to the proposals or ideas you submit. In addition, CAMBOX LTD assumes no fiduciary or confidential duty of any kind in relation to any proposals, ideas or suggestions you submit in connection with CAMBOX LTD's product lines or services. You understand that we cannot and do not agree to treat, as confidential, your ideas, proposals, products, enhancements, or any other information that you may choose to submit or disclose to us, even if the materials are marked "Confidential" or you indicate the confidential nature of the information,  unless such processing is covered by a separately drafted non-disclosure agreement, if any, which we may choose to enter into with you. You also understand and agree that CAMBOX LTD's willingness to consider proposals or ideas does not constitute an endorsement of their new, priority or originality, nor does it affect CAMBOX LTD's right to challenge patents or copyrights claiming existing or future ideas.

Copyright Policy

CAMBOX LTD complies with copyright law and expects its users to do the same. CAMBOX LTD has adopted and implemented a policy that provides for terminating, in appropriate circumstances, the accounts of registered users or other account holders, who repeatedly infringe or appear to repeatedly violate the rights of copyright holders. General Prohibitions

You agree not to do any of the following:

Post, upload, publish, submit or transmit any Content (including links thereto) that: (i) infringes, misappropriates or infringes any patent, copyright, trademark, trade secret, moral rights, other intellectual property rights, or rights of publicity or privacy of any third party; (ii) violates, or encourages conduct that would violate any applicable law or regulation or give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening, or encourages violence or actions that constitute a threat to a person; or (vii) encourages, depicts or constitutes illegal or harmful activities or substances

Use, display, mirror or frame the Service, or any individual element of the Service, CAMBOX LTD's name, any trademark, logo or other proprietary information of CAMBOX LTD, or the configuration or design of any page or form appearing on a page, without the express written consent of CAMBOX LTD.

Access, tamper with, or use non-public domains of the Service, CAMBOX LTD's computer systems, or CAMBOX LTD's service providers' technical delivery systems.

Attempt to probe, scan or test the vulnerability of any CAMBOX LTD system or network or breach any security or authentication measures

Avoid, short-circuit, delete, disable, alter, decode or otherwise circumvent any technological measures that CAMBOX LTD or any of its service providers or any other third party (including another user) has implemented to protect the Service or the Content

Attempt to access or review the Service or Content, or download the Content from the Service using any engine, software, tool, agent, device, or mechanism (including spiders, robots, tracks, data extraction tools, or the like), other than the software and/or search agents that CAMBOX LTD provides or other generally available third-party web browsers

Send unsolicited or unauthorized advertising or promotional materials, emails, junk mail, spam, chain letters, or other forms of solicitation

Use meta tags or other concealed text or metadata, using any trademark, URL logo, or product name of CAMBOX LTD, without the express written consent of CAMBOX LTD

Use the Service or Content for commercial purposes, for the benefit of a third party, or in any manner prohibited under these TOU

Imitate any TCP/IP packet header or any part of the header information in an email or as part of a newsgroup posting, or otherwise use the Service or Content to send altered, misleading, or false source credentials

Attempt to decipher, decompile, disassemble, and reverse investigate any software used to provide the Service or Content

Interfere with, or attempt to interfere with, the access of any user, host, or network, including, but not limited to, sending a virus, flooding, flooding, polluting, or mail-bombing the Service

Collect or store personally identifiable information from the Service, from other users of the Service, without their express permission

Impersonate another person or entity, or pretend that your affiliation is that of another person or entity

Violate any applicable law or regulation

Encourage another person to act, or allow another person to act, as previously stated

CAMBOX LTD has the right to investigate and prosecute the aforementioned violations, to the fullest extent permitted by law. CAMBOX LTD may involve and cooperate with law enforcement authorities in prosecuting users who violate these TOS. You acknowledge that CAMBOX LTD is under no obligation to monitor your access to or use of the Service or Content, or to review or edit any Content, but has the right to do so for the purposes of operating the Service, to ensure your compliance with these TOS, or to comply with applicable law,  or at the request or requirement of a court, administrative agency, or other governmental body. CAMBOX LTD reserves the right, at any time and without prior notice, to remove or disable access to any Content, including any Content that CAMBOX LTD, in its sole discretion, deems to be objectionable for any reason, in violation of these TOS or otherwise harmful to the Service.

Links

The Service contains links to other websites and other online resources, and you understand that, by using the Service and accessing third-party links, you may be exposed to content that is offensive, harmful, inaccurate, or otherwise inappropriate. You understand and agree that CAMBOX LTD is not responsible and is/shall not be liable in respect of the following: (i) the availability or accuracy of such websites or resources; or (ii) the content, products or services that appear on or are available from such websites or resources. Links to such websites or resources do not imply endorsement by CAMBOX LTD of such websites or resources, or the content, products or services available from such websites or resources. You acknowledge that you assume full responsibility and risk for your use of such websites or resources.

Sweepstakes & Contests

CAMBOX LTD may conduct sweepstakes, contests, and similar promotions (collectively, "Promotions") through the Service. You should carefully review the rules (e.g., the "Official Rules") of each Promotion in which you participate through the Service, as they may contain important additional information about CAMBOX LTD's rights and proprietary rights in relation to your submissions in connection with the Promotions and resulting from your participation in such Promotions. To the extent that the terms and conditions of such Official Rules conflict with these TOS, the terms and conditions of such Official Rules shall control.

Modification

CAMBOX LTD reserves the right, in its sole discretion, to take any action to modify, stop or terminate the Service or modify these TOS, with applicable effect in the future. If we change these TOS, we will post the change on the Site or through the Service or notify you of the change. We will also update the "Last Updated Date" at the top of these TOS. If you do not object to the enforceability of the amended TOU within six (6) weeks, the amended TOU will be deemed to have been accepted by you. You may also be asked to re-recognize and re-accept the TOU, following any material changes. If you do not agree to the modified TOS, your sole remedy is to stop using the Service.

Account Termination and Cancellation

If you breach any of these TOS, CAMBOX LTD shall have the right to suspend or deactivate your Account, or terminate these TOS, at its sole discretion and without prior notice to you. CAMBOX LTD is under no obligation to continue to support the Service in any way, or to provide you with updates or corrections to errors in the Service. Your rights under these TOU will terminate immediately and automatically, with or without notice at CAMBOX LTD's sole discretion, if CAMBOX LTD ceases to support the Service. CAMBOX LTD reserves the right to revoke your access to and use of the Service and Content at any time, with or without cause. You may cancel your Account, at any time, by contacting CAMBOX LTD's support service.

Disclaimer

THE SERVICE AND CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, CAMBOX LTD EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR TRADE PRACTICE. CAMBOX LTD MAKES NO WARRANTY THAT THE SERVICE OR CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. CAMBOX LTD MAKES NO WARRANTY THAT CAMBOX LTD WILL CONTINUE TO OFFER OR MAKE AVAILABLE THE SERVICES, INCLUDING, BUT NOT LIMITED TO, SPECIFIC SOFTWARE TERMS, FOR A PARTICULAR PERIOD OF TIME, AND CAMBOX LTD RESERVES THE RIGHT TO CHANGE AND UPDATE THE SERVICE AND SOFTWARE TERMS WITHOUT NOTICE TO YOU. CAMBOX LTD MAKES NO WARRANTY WITH RESPECT TO THE QUALITY OF ANY PRODUCTS, SERVICES, OR CONTENT PURCHASED OR OBTAINED THROUGH THE SERVICE, OR THE ACCURACY, TIMELINESS, AUTHENTICITY, COMPLETENESS, OR RELIABILITY OF CDUT CONTENT OBTAINED THROUGH THE SERVICE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CAMBOX LTD OR THROUGH THE SERVICE OR THE CONTENT, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. YOU ARE SOLELY RESPONSIBLE FOR YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICE.

Limitation and Liability

CAMBOX LTD shall be liable, without limitation, for culpable intent or gross negligence, loss of life, personal injury and injury to health, in accordance with the provisions of the French law applicable to product liability and to the extent of any warranty assumed by CAMBOX LTD.

In the event of a slightly negligent breach of its material obligations to achieve the purpose of the contract (material contractual obligations), any liability of CAMBOX LTD shall be limited to the typical, foreseeable loss.

Any further liability of CAMBOX LTD shall be excluded.

The limitations of liability shall also apply accordingly in favour of CAMBOX LTD's employees, representatives and authorized agents.

Governing Law and Jurisdiction

These TOU and any action relating thereto shall be governed by the laws of United Kingdom, without regard to its conflict of law provisions.

Entire Agreement

These TOU constitute the full and exclusive understanding and agreement between CAMBOX LTD and you with respect to the Service and Content, and these TOU supersede all prior oral and written understandings and agreements between CAMBOX LTD and you with respect to the Service and the Content.

Assignation

CAMBOX LTD may assign or transfer these TOS, in its sole discretion, without any restriction.

Opinion

Notices and other communications permitted or required hereunder, including those regarding changes to these TOS, will be communicated by CAMBOX LTD (i) by email (in each case to the address you provide), or (ii) by posting them as part of the Service. For notices given by e-mail, the date of receipt shall be deemed to be the date on which such notice is transmitted.

General

If, for any reason, a court of competent jurisdiction finds any provision of these TOU to be invalid or unenforceable, the parties shall agree to a provision with the force of law that, to the fullest extent of the law, best reflects the intent of the parties. The same applies in the event of an omission in these TOS. In this case, the other provisions of these TOU shall remain in full force and effect.
